Tangier Free Zone: An American Fund Notifies Its Takeover of Marelli in Rabat

T

angier’s name appears in full in the notice the Competition Council published on September 3: funds managed by the American firm Strategic Value Partners have notified it of their acquisition of exclusive control of Marelli Corporation, whose portfolio includes “in particular” Marelli Morocco SARL, established in the Tangier Free Zone.

The market concerned is automotive lighting, and interested third parties have until September 14 to file observations.

Behind the filing lies the end of a bankruptcy. Marelli Holdings opened voluntary Chapter 11 proceedings in Delaware on June 11, 2025, with $1.1 billion in financing committed by its own lenders.

The restructuring agreement, signed by roughly 80% of them, provided that those lenders would take ownership of the business on emergence. It is that handover the Rabat file now records, and it carries the Tangier site with it.

The Council will say in the coming weeks whether it clears the operation, and on what terms.
