Chtouka-Ait Baha: BioFirst Buys Out Half of Biobest Maroc for 30 Million Euros

S

outh of Agadir, on the Chtouka-Ait Baha plain, a plant breeds pollinating bumblebees, predatory insects and mites meant to take the place of synthetic pesticides under the greenhouses. The Belgian industrial group Floridienne announced on September 11, after the close of Euronext Brussels, that its subsidiary BioFirst had reached an agreement to acquire the 50% of Biobest Maroc it did not yet own, at a price of 30 million euros, financed from own funds and through borrowing. Floridienne’s holding in BioFirst remains unchanged, at 59.16%. The Competition Council had published the non-confidential summary of the notification the day before, describing the operation as an acquisition of exclusive control and giving third parties until September 21 to file observations.

The Moroccan company, created in 1998, was held in equal shares with a historic partner the release does not name and with which the commercial relationship is to continue. Floridienne presents the transaction as an acquisition of minority interests: since Biobest Maroc is already controlled and fully consolidated, the buyout touches neither the group’s consolidated revenue nor its consolidated net result, and merely shifts the split of that result toward the group’s share. The Competition Council’s authorization is expected before the end of the 2026 financial year; once granted, it would give a Brussels-listed holding full ownership of one of its main production centers for beneficial insects, one that will stay Moroccan in its greenhouses, its breeding rooms and its teams.
